Requirements for earning commissions through Afri pearl collections’ Affiliates Programme.
Afri pearl collections’ Affiliates Programme offers eligible affiliates, including blogs and other third-party websites (“Affiliates”), the opportunity to earn commissions on qualifying sales that originate from links to Afri pearl collections’ websites on an Affiliate’s site. This Affiliates Policy explains your rights and responsibilities when participating in Afri pearl collections’ Affiliates Programme.
Afri pearl collections’ Affiliate’s programme offers eligible entities or individuals (collectively, “Affiliates” each an “Affiliate”), the opportunity to earn commissions on qualifying sales that originate from links to Afri pearl collections’ websites (“Affiliate Links”) on an Affiliate’s Authorized Channel. This policy explains your rights and responsibilities when participating in Afri pearl collections’ Affiliates Programme. “Authorized Channels” means your owned and operated social media pages, websites, blogs, emails, and such other communications, media and channels that have been accepted and approved by Afri pearl collections for participation in the Affiliate’s Programme.
This policy contains the terms and conditions that apply to Affiliate’s participation in the Afri pearl collections Affiliates Programme (the “Affiliates Programme”), which is operated through the Brencons Affiliate Network Affiliates are also subject to the Brencons Network Terms.
These terms are a contract between you and Afri pearl collections (if you live in North America or South America, the contract is between you and Afri pearl collections, Inc.; if you live elsewhere, the contract is between you and Afri pearl collections Ltd but we’ll just refer to Afri pearl collections, Inc. and all of its subsidiaries collectively as “Afri pearl collections”).
1. Eligibility and Enrolment in Afri pearl collections’ Affiliates Programme
Prospective Affiliates must apply to be a party of the Affiliates Programme based on their country of residence and be approved by Afri pearl collections, in its sole discretion, in order to gain access to the Affiliates Programme. Sales from applicable Affiliate Links will track regardless of where in the world the sale took place. Prospective Affiliates are evaluated based on criteria such as type of site, site quality, site content, variety of site content and items promoted, brand identity, and alignment with Afri pearl collections’ values. During the application process, prospective Affiliates may be asked to share additional information about any of the listed criteria.
Afri pearl collections sellers are eligible for the Affiliates Program but are not eligible to earn commission on sales from their own shops or from closely-related shops without the prior express written approval of Afri pearl collections. Closely related shops are shops in which an Afri pearl collections seller has a financial interest or a material personal, technical, financial or business connection with the seller’s own shop.
To be eligible for our Affiliates Programme, you must:
• Be at least 18 years of age, or the age of majority in your country (if over 18);
• Have a website with a URL – all unique sites and URLs must be approved separately by Afri pearl collections;
• Have an appropriate amount and type of content on your site, as determined by Afri pearl collections, in its sole discretion;
• Declare the names of any Afri pearl collections shops you own or are closely related to (if applicable) to Afri pearl collections’ Affiliate team via email upon application;
• Inform Afri pearl collections’ Affiliate team via email of any Afri pearl collections shops you register or become involved in after becoming an approved Affiliate.
The following types of websites are prohibited from participating in the Affiliates Programme without express separate prior written permission from Afri pearl collections:
• ‘Cash-back’ or voucher sites (websites that offer rewards for buying goods through referral links);
• Price comparison sites;
• Sites that utilise iFrame or similar code for embedding media;
• Sites that serve as part of advertising networks or ad platforms (online networks that sell or place advertisements);
• Sites using ‘pop-ups’ or ‘pop-unders’ (websites that launch ‘pop-up’ or hidden windows on users’ browsers);
• Sites that perform “dropshipping” or similar delivery services;
• Social sharing sites, forums, social media pages, and registries (excluding Instagram (must have a minimum of 10,000 followers), and YouTube, or as otherwise approved by Afri pearl collections in writing);
• Sites that exist solely or predominately to promote Afri pearl collections items;
• Sites that promote unlicensed items with registered trademarks or other intellectual property owned by third parties;
• Sites that are password-protected or otherwise require credentials to see content;
• Sites that promote or encourage users to post third party or user-generated content;
• Sites with content related to sexual, religious, political or other sensitive matters, or otherwise have content that violates Afri pearl collections’ Prohibited Items Policy, Anti-Discrimination and Hate Speech Policy, or are otherwise inconsistent with Afri pearl collections’ brand.
Prospective Affiliates must apply directly through the Affiliates Programme platform, operated by the Brencons Network. You must provide and maintain complete and accurate information about you (including your payment and tax information) during your participation in the Affiliates Programme. Afri pearl collections and Brencons have the right to confirm or verify the truth and accuracy of your registration and account information at any time. You are responsible for all activity related to your account on the Brencons Network and in the Affiliates Programme once you are approved, and must provide Afri pearl collections and Brencons with prompt notice of any known or suspected unauthorized use of your account or breach of the security of your account. If you are an Affiliate who is also an Afri pearl collections seller, signing up to the Affiliates Programme via a sub-network is not permitted.
Afri pearl collections reserves the right to remove Affiliates from the Affiliates Programme and refuse service, for any reason, at any time. Participation in the Affiliates Programme may be limited to Affiliates located in certain countries and is void where prohibited by law. Afri pearl collections reserves the right to approve or reject any application to join the Affiliates Programme for any reason.
2. Commission Rates, Qualifying Sales and Payment
As an Affiliate, you are eligible to receive commissions for qualifying sales through Authorized Channels (see below). Commission rates are determined on a case-by-case basis and may vary based on a variety of factors, such as type of site and content. For current commission rates, click here.
Your Affiliate application through the Affiliates Programme platform must specify the channels on which you wish to place Affiliate Links. If after you are approved as an Affiliate you wish to use additional channels that have not been approved, you must obtain Afri pearl collections’ approval before using such channels. Afri pearl collections will not approve telemarketing/text message/SMS marketing as an Authorized Channel. Afri pearl collections may, in its sole discretion, disqualify an Authorized Channel if it determines that it no longer complies with the requirements of this Affiliate Policy or is otherwise no longer appropriate for Affiliate Links.
Qualifying sales are sales made on https://www.Afri pearl collections.com (the “Afri pearl collections Site”) by users that arrived on the Afri pearl collections Site by clicking an Affiliate Link on an Authorized Channel and pay by credit or debit card, or any of the methods set forth in the Afri pearl collections Payments Policy. Affiliate Links, including URLs and banners or other creative assets (collectively, the “Creative Assets”), can be found on the Affiliates Programme platform. To receive a commission, Affiliates must (a) use only the Creative Assets and Affiliate Links provided by Afri pearl collections, (b) only use the Creative Assets on an Authorized Channel, and (c) not alter any of the text links or Creative Assets made available through the Affiliates Programme platform. Affiliates are also requested not to hardcode Affiliate Links into their sites, so that any updates to Creative Assets take immediate effect.
The Affiliates Programme platform uses browser cookies to verify qualifying sales. The cookies (i) on the Afri pearl collections website are valid for thirty (30) days and (ii) on the Afri pearl collections application (the “App”) are valid for seven (7) days (collectively, the “Cookie Period”). Commissions are paid on qualifying sales made during the Cookie Period that originated on an Authorized Channel. This means that an Affiliate can receive a commission for a qualifying sale if the sale was made within thirty (30) days, or seven (7) days in the case of an sale made via the App, of the user clicking the Affiliate Link in an Authorized Channel, as long as the Affiliate was the last referrer. If a user clicks multiple Affiliate Links, the last Affiliate Link to be clicked prior to a qualifying sale will receive the commission. If the user’s last click prior to making the purchase was a paid channel, such as, for example, via Google PPC or if a paid click goes directly to an affiliate link, the purchase will not be a qualifying sale and an Affiliate will not receive a commission.
Commissions are calculated by multiplying the relevant commission rate and the price of the qualifying sales (excluding postage costs and taxes). Commissions are not paid on sales that are cancelled, refunded, returned, or on any transaction that results in a chargeback. Commissions are subject to review and other limitations for fraudulent activity. Afri pearl collections reserves the right to withhold commissions for any legitimate reason. You are solely responsible for any taxes that may be due in connection with your participation in Afri pearl collections’ Affiliates Programme.
At any time, Afri pearl collections may with or without notice change, suspend or discontinue an Affiliate Link or remove, alter, or modify any graphic or banner ad submitted by Afri pearl collections through the Affiliates Programme platform. Affiliate agrees to promptly implement any request from Afri pearl collections to remove, alter or modify any Affiliate Link, graphic, or banner ad submitted by Afri pearl collections through the Affiliates Programme platform.
3. Programme Restrictions
Affiliates that violate any of the following programme restrictions may be suspended or removed from the Affiliates Programme and may not receive commissions, in Afri pearl collections’ sole discretion:
Social Media and Sharing
Affiliates may only post Affiliate Links on Authorized Channels they operate in line with their website URL, such as Instagram, Facebook, or Twitter. Affiliate Links are prohibited on some social sharing sites, such as Pinterest and Tumblr. When posting content, it is the Affiliate’s responsibility to follow and abide by each Social Media platform’s terms and conditions, including any policies on affiliate links. Affiliates may share Affiliate Links with its email subscribers. In addition, Affiliates may only use the Creative Assets and Affiliate Links provided by Afri pearl collections and only in the Authorized Channels which do not include closed or private group pages.
Use of Voucher Codes
Affiliates may only promote approved Afri pearl collections voucher codes that link directly to the applicable Afri pearl collections shop and are provided through the Affiliates Programme platform. Any expiration dates should be clearly and prominently displayed next to the voucher codes, and codes should be removed or explicitly marked as expired on or just prior to the expiration dates. Affiliates displaying expired codes without marking them as being expired may be suspended from the Affiliates Programme.
In connection with the Affiliates Programme, you agree that you will not bid on any keywords containing Afri pearl collections trademarks for internet search advertising, search engine optimization, or for any other purpose. Affiliates may not purchase domain names that have variations from Afri pearl collections’ domain or misspellings in them which are solely intended to direct traffic away from the Afri pearl collections Site, or purchase any domains containing Afri pearl collections Trademarks, including variations or misspellings.
Affiliates must comply with the following conditions, including in connection with any advertising on any ad platform (e.g. search engines, content networks, and social networking sites):
• Affiliates are not permitted to bid or appear on searches, including extended or hybrid searches, that include the term (including misspellings or variations) “Afri pearl collections”
• Affiliates are not permitted to use Afri pearl collections’ trademarks in any paid search activity, including ad text, copy or display URLs;
• Affiliates are not permitted to direct link PPC activity to Afri pearl collections.com; this includes using Afri pearl collections.com as a display URL;
• Affiliates are not permitted to send traffic through automatic redirects on a website page;
• Affiliates are not permitted to use the Afri pearl collections name (including misspellings and variations) as a sub-domain or sub-folder;
• Affiliates are not permitted to create sub-affiliate accounts under the original approved affiliate account;
• Affiliates are not permitted to use Afri pearl collections trademarks, or any variation thereof, in hidden text or source code, including within its site’s domain or sub-domain;
• Affiliates are not permitted to use Afri pearl collections’ brand in a manner that suggests an affiliation, association, or brand partnership, or in a manner otherwise inconsistent with Afri pearl collections’ Trademark Policy; and
• Affiliates are not permitted to engineer its site in such a manner that it pulls internet traffic away from the Afri pearl collections Site, including without limitation, “keyword stuffing” such as using terms in hidden or live text that is meant to attract search engine spiders in order to determine higher relevance or rank than the Afri pearl collections Site.
Responsibility for Your Authorized Channels
You are solely responsible for your site, including its development, operation and maintenance and all materials that appear on or within it. Afri pearl collections is not liable for any content or information on your Authorized Channels or for any of your users’ claims relating to your Authorized Channels, and you agree to defend, indemnify, and hold Afri pearl collections harmless from and against all claims relating to your site and the content of your social media pages. You agree that during your participation in the Affiliates Programme, you will comply with the following requirements with respect to your website, advertising for your website, and social media presence:
• Ensuring all banners, text links, individual product links and search box ads are up to date with what is offered by Afri pearl collections through the Brencons Network;
• Ensuring the accuracy and appropriateness of materials and content posted on your site;
• Ensuring that materials and content posted on your site are not libelous or unlawful, and do not violate or infringe upon the rights of any third party (including, but not limited to, copyrights, trademarks, privacy or other personal or proprietary rights);
Afri pearl collections may suspend your account and/or withhold commissions if it determines you are in violation of any of the conditions contained in this Section 3.
4. Compliance and Disclosures
Depending on where you are located, you may be subject to varying regulations relating to the operation, marketing, and advertising of your site. As an Affiliate, it’s your responsibility to know and follow any applicable regulations that apply to your site. Afri pearl collections is unable to provide legal advice; we urge you to speak to a legal expert if you are unsure of your obligations or have specific questions.
4.1 Compliance with Laws
Affiliates must comply with all applicable international, federal, state, and local laws as it relates to operation of its website and any organic or paid advertising of its website. You agree that you are responsible for all personal information that you collect from users of your site and that you must obtain valid consent (if applicable) from end users to collect, use or disclose this information as required by applicable law.
Affiliates must ensure all email marketing complies with applicable laws and regulations, including without limitation, the Controlling the Assault of Non-Solicited Pornography and Marketing Act of 2003 (the “CAN-SPAM Act”), Canada’s anti-spam legislation or “CASL”, the European Directive 2002/58/EC (Directive on privacy and electronic communications) and any local law implementations of such directive including for the UK, the Privacy and Electronic Communications (EC Directive) Regulations 2003 (“PECR”) and any other applicable anti-spam or related regulations, laws, or industry best practices, related to the dissemination of commercial emails in their country. Emails must not state or imply that the email is being sent by, or on behalf of, Afri pearl collections, or Afri pearl collections sellers.
4.2 Consumer Disclosures.
As an Affiliate, you must comply with the Uganda and U.S. Federal Trade Commission’s Guides Concerning the Use of Endorsements and Testimonials in Advertising (“FTC Guidance”), the UK’s Committee of Advertising Practice Codes including their guidance on Online Affiliate Marketing or the equivalent laws, rules, regulations and guidelines in your country, as well as the policies of each social media platform, concerning Affiliate’s disclosure of a material connection with Afri pearl collections.
In any and all social media outlets or other digital properties in which an Affiliate communicates about Afri pearl collections or products sold on Afri pearl collections, or in any other advertising, the Affiliate must:
clearly and conspicuously disclose their relationship and their material connection (meaning the Affiliate receives payment of commission or other compensation) with Afri pearl collections. For example, an Affiliate could use the identifier “ad” or “advert” before each Affiliate Link (or any local language equivalent); ensure that each such disclosure is prominently placed in close proximity to the communication about Afri pearl collections or products sold on Afri pearl collections; not make any false, misleading or deceptive statements about Afri pearl collections, or products sold on Afri pearl collections; ensure that any opinion or personal endorsement given about any Afri pearl collections products is honestly and genuinely held; and not make unsupported or untruthful product performance or attribute claims concerning products sold on Afri pearl collections or any claims about product performance or attributes without personal knowledge or substantiation (i.e. proof) of the same.
4.3 Afri pearl collections Supplier Code of Conduct
In participating in the Affiliate Programme, you agree to abide by the Afri pearl collections’ Supplier Code of Conduct available here. Please note this code may be updated from time to time, and you are responsible for knowing and abiding by any changes.
5. Dispute Resolution; General Provisions
5.1 Right to Audit; Suspension & Termination.
Afri pearl collections has the right to audit you, your sites, or activities related to your site, including compliance with this Affiliates Policy, in relation to your participation in the Affiliates Programmes. If Afri pearl collections believes that you have breached this Affiliates Policy or that you have engaged in fraudulent activity, it may take any steps it deems appropriate, such as: (i) issue a warning; (ii) conduct an investigation; (iii) suspend your account; (iv) terminate your account from the Affiliates Programme or from the Brencons Network; or (v) withhold commission payments.
You agree to indemnify, defend, and hold harmless Afri pearl collections, its affiliates and subsidiaries, and each of their respective directors, members, officers, employees, contractors, representatives, agents, successors and assigns from and against any and all damages, judgments, settlements, awards, penalties, and costs (including reasonable lawyers’ fees) in relation to a third party claim arising from or related to: (i) Your negligence, willful misconduct or acts or omissions; (ii) Your violation of applicable laws or regulations or applicable codes of practice; (iii) Your breach or other non-compliance with the terms of this Affiliate Policy or (iv) Your Authorized Channels and other content.
5.3 Limitation of Liability.
Nothing in this Policy, including this Section 5.3, shall attempt to exclude or limit liability that can’t be excluded or limited under applicable law including without limit, death or personal injury caused by a party’s negligence, or for fraudulent conduct. Subject to this, and to the maximum extent permitted under applicable law, Afri pearl collections will not be liable for indirect, special or consequential damages arising in connection with this Policy, the Affiliates Programme, or the Brencons Network, even if Afri pearl collections has been advised of the possibility of such damages. Further, subject to the preceding parts of this paragraph, Afri pearl collections’ aggregate liability arising with respect to this Affiliates Policy, and your participation in the Affiliates Programme, will not exceed the total commissions paid to you in the previous six (6) months preceding any claim. All claims made hereunder by you against Afri pearl collections shall be made within 120 days of the act or omission, which forms the basis of such claims.
5.4 Representations and Warranties.
You represent and warrant that (a) you have the authority to participate in the Affiliates Programme and enter into this Agreement and have sufficient rights to grant any licenses express herein, (b) you shall, in the performance of all of your rights and obligations under this Agreement, comply with all applicable laws, rules, and regulations and codes of practice, (c) any material or communication which is displayed or used by you in connection with the Affiliates Programme will not (i) infringe on any third party’s copyright, patent, trademark, trade secret, or other proprietary rights or right of publicity or privacy; (ii) be defamatory or libellous; (iii) be lewd, pornographic, or obscene; (iv) violate any laws, including those regarding unfair competition, antidiscrimination, consumer financial protection or false advertising; (v) promote violence or contain hate speech; (vi) promote discrimination, based on race, age, sex, religion, nationality, sexual orientation, gender expression or disability; or (vii) contain viruses, trojan horses, worms, time bombs, cancelbots, or other similarly harmful or deleterious programming routines.
Afri pearl collections makes no representations or warranties to you, including, but not limited to, any implied warranties of merchantability or fitness for a particular purpose. Afri pearl collections makes no express or implied warranties or representations with respect to the affiliates programme or any products or services sold through the affiliates programme, or as to any commissions that you may earn through the affiliates programme, or that any Afri pearl collections site, affiliates programme site or network will be uninterrupted or error-free, and Afri pearl collections will not be responsible for consequences or any interruptions or errors.
5.5 Governing Law, Jurisdiction, and Venue
This Affiliates Policy will be governed by the laws of the United States and the State of New York, without reference to rules governing choice of laws. Any action relating to this Policy or your participation in the Affiliates Programme must be brought only in the federal or state courts located in New York, NY and you irrevocably consent to the jurisdiction of such courts.
6. Related Policies; Contact & Communications
The Affiliates Programme platform is operated by Brencons a third party. In order to enroll in the Affiliates Programme, you may be required to enter into a separate agreement with Brencons , which we strongly recommend you read carefully. Afri pearl collections does not control Brencons and is not responsible for any activity by Brencons.
Afri pearl collections may contact Affiliates directly with essential programme updates and offers. If you no longer consent to be contacted or wish to leave the programme, you must send an email to Afri pearl collections. Even if you opt-out of receiving promotional emails, you may still receive transactional emails related to your account or participation in the programme.
Any exceptions to this Policy are effective only if expressly made in writing by Afri pearl collections.
Afri pearl collections reserves the right to change or modify the terms and conditions contained in this Affiliates Policy, at any time. Any changes or modifications will be effective upon posting of the revisions through the Brencons Network and/or Afri pearl collections Site. By continuing to participate in the Affiliates Programme after such time, you will be deemed to have accepted such changes.

Anti-Discrimination and Hate Speech Policy
Afri pearl collections connects thoughtful consumers around the world with creative entrepreneurs. It’s an ecosystem where people of all backgrounds inspire each other and build relationships through making, selling, and buying unique goods. We want everyone on Afri pearl collections to feel safe, and our priority is fostering an inclusive environment. This policy explains the kind of behaviour we prohibit on Afri pearl collections to make sure we all have a positive experience.
Afri pearl collections prohibits the use of our Services to discriminate against people based on the following personal attributes (collectively, “protected groups”):
• National origin
• Gender identity
• Sexual orientation
• Any other characteristic protected under applicable law
It is your responsibility to know your local laws and any other legal regulations on discrimination that might apply to you. Additionally, Afri pearl collections does not allow hate speech. Hate speech occurs when violent, offensive, derogatory or demeaning language is directed at a person or group based on their one or more protected group attributes.
Whether you’re engaging with public features on Afri pearl collections, such as listing items, using community spaces, and writing reviews, or having direct communication with other members of the Afri pearl collections community, such as via Messages, discrimination and hate speech are not allowed. As a seller on Afri pearl collections, your shop content, including shop announcements and shop policies, cannot display discriminatory behaviour toward protected groups. Examples of prohibited behaviour include, but are not limited to:
• Refusal of service based on membership in one or more protected group
• Expressing intolerance or a lack of respect for another member on the basis of protected group attributes
• Having a shop policy that excludes sales to members of one or more protected groups listed above
• Directly or indirectly making derogatory or demeaning remarks against protected groups listed above
• Racial slurs
• Posts that support or glorify hate groups and their members
If you think discrimination or hate speech has occurred on Afri pearl collections, please report it by contacting us and we will investigate. If you see a listing on Afri pearl collections which you believe violates our Prohibited Items Policy, including prohibited hate items, we encourage you to flag the item by using the Report this item to Afri pearl collections link at the bottom of each listing page. We have a timely review process for all reports.
Afri pearl collections believes in code as craft. Afri pearl collections’ public API lets developers tap into our community and build their own Afri pearl collections-powered applications. These terms explain your rights and obligations when using Afri pearl collections’ API.
We’ll refer to Afri pearl collections.com as the “Site”, Afri pearl collections’ mobile applications as the “Apps”, and Pattern by Afri pearl collections, Afri pearl collections Payments, the Afri pearl collections API, and our other services, together with the Site and Apps, collectively as the “Services”. These API Terms also incorporate by reference Afri pearl collections’ Intellectual Property Policy. While Afri pearl collections owns our API, members own their own content.
1. Your Limited Licence to Use the Afri pearl collections API
Afri pearl collections grants you a limited, personal, non-sublicensable, non-transferable, non-exclusive, revocable licence to access and use our API to create and run websites and applications that comply with our policies. Afri pearl collections reserves the right to charge for access to, or use of, the API in the future. If you violate the Terms, we may revoke your API access or your account privileges (including your related accounts). If Afri pearl collections enters into a business agreement involving our API, that agreement’s terms supersede these API Terms.
2. API Agreement Acceptance and Changes
Transparency is important to us, so we require that you provide accurate registration data when you sign up to our API Terms, and that you keep your registration information up-to-date. You are also required to comply with our access security requirements, such as two-factor authentication, wherever available. It is your responsibility to inform Afri pearl collections of any changes to your registration data by updating your account or contacting Afri pearl collections.com. We may get in touch with you if your account information is incomplete, outdated, or inaccurate, and we reserve the right to suspend or terminate your access to the API if you fail to provide us with accurate and complete contact information. Remember that your API and account security is your responsibility. You must immediately contact Afri pearl collections if you discover any security concerns or believe your account has been compromised.
Afri pearl collections reserves the right to change these API Terms at any time. If we believe that the changes are material, we’ll send an email to the address associated with your account or message you through Afri pearl collections Messages. You consent to receiving these non-marketing messages, and it’s your responsibility to review these changes.
In order to continue using the API, you must accept the updated API Terms. If we provide notice to you of a material change in the API Terms that require you to affirmatively accept the change, and if you fail to accept the updated API Terms and other applicable policies within 30 days of notice of these updates, your access to the API may be suspended or terminated. For all other updates, your continued use of the API 30 days after we’ve notified you of an update will constitute your acceptance of the updated API Terms.
3. Your Privacy, Intellectual Property, and Security Obligations
When using our API, you may interact with user-generated content and users’ personal information. Remember, Afri pearl collections does not own user-generated content – Afri pearl collections’ members do. Moreover, you have a strong obligation to protect user personal information.
4. Use of the API
Afri pearl collections is always changing, so the data you access through the API may become outdated quickly. You will not display listing content more than 6 hours older than information on the Site or Apps. You will not display any other Afri pearl collections content more than 24 hours older than the content displayed on our Sites. Once you’ve accessed, stored, or displayed Afri pearl collections content, you will not cache or store it longer than is reasonably necessary to provide service to your application’s users.
Depending on the API version you access, you may be required to meet certain technical requirements, including but not limited to providing requested information in connection with your applications as set forth in the Developer API Specification, as updated from time to time.
You’re solely responsible for your use of the API. If you’re offering your application to other Afri pearl collections members, you will provide support, including by prominently displaying an email address on your application and responding to enquiries from members or Afri pearl collections in a timely manner.
We expect your use of Afri pearl collections’ API to be a positive experience for everyone involved. You may not:
• Try to replicate Afri pearl collections, duplicate Afri pearl collections content, or circumvent our checkout process.
• Circumvent any security features or technical limitations of the API.
• Disrupt the flow or user experience on Afri pearl collections, such as by modifying the look, feel, or content of the Site, Apps, or Services; distributing a virus; or other harmful computer code.
• Exceed reasonable request volume or reasonable number of API keys. By default, members are allocated a set number of calls per day per the Afri pearl collections API developer site, and Afri pearl collections may grant you higher call limits or further restrict your calls to the API at our discretion. You may not create additional API keys to overcome these limits.
• Sell, lease, or otherwise transfer our API or member data to any third party.
• Use API or member data with a third-party advertising or marketing platform, whether or not aggregated, and whether or not tied to a specific member.
• Use the API to collect, scan, or otherwise request Afri pearl collections content for analytics, machine learning, licensing, or content removal unless expressly authorised by us.
• Modify the API in any way.
• Transmit spam, unsolicited marketing communications, or any other content that violates Afri pearl collections’ policies.
• Misrepresent your affiliation with Afri pearl collections, such as by failing to comply with Section 6 of these API Terms.
• Upload, post, collect, or store member ID and password combinations.
• Reverse engineer or access internal or legacy APIs or data feeds.
• Use automated systems designed to access, analyze, or scrape our website, including our API, unless expressly authorized by us.
• Otherwise attempt to harm or damage Afri pearl collections or Afri pearl collections’ members.
• Combine your application or website code with the API in a way (such as using a software license) that is incompatible with the Terms.
• Use the API in a manner that presents a safety or security risk to Afri pearl collections or its users.
• Use the API in a manner that is inconsistent with data protection principles including subject access requests, where available to data subjects.
• Attempt to use the API in a way that is not transparent with Afri pearl collections or users regarding the purposes behind your processing of user data; for example, you may not combine Afri pearl collections user data with other sources of data about them without the consent of Afri pearl collections and the users.
5. Commercial Use
In general, we permit reasonable commercial uses of the API. Examples of permitted, reasonable commercial uses include:
• Charging users a fee for parts of your application that don’t integrate with our API, such as advice, consulting, or engaging in the sale of your own products or services not competitive with Afri pearl collections.
• Displaying advertising in your application, so long as you are not misleading or abusing users; you comply with all applicable advertising-related laws, disclosures, and industry standards; and the advertising is not using, or collecting information tied to, member data obtained via the API.
• Any use that is expressly authorised by Afri pearl collections.
Prohibited, unreasonable commercial uses include (but are not limited to):
• Selling or giving any third party the API, member content (that is not your own), or access to the API or content.
• Charging a fee to use or access any part of your application that integrates with the API and that Afri pearl collections provides to members free of charge.
• Using the API primarily to drive traffic to other non-Afri pearl collections websites or services.
• Using the API in a manner unrelated to seller or buyer activity, such as to determine information about Afri pearl collections’ internal systems or to perform marketing analytics, without the permission of Afri pearl collections.
• Using the API to obtain information on, track, or surveil Afri pearl collections members or their content in a manner that would otherwise require (i) valid legal civil or criminal process, or (ii) express permission from the affected members.
• Using the API to assist in creating databases of identifying information for any government or government sponsored entity (irrespective of any stated national security purpose) to abolish any human rights, civil rights, or civil liberties on the basis of race, gender or gender identity, sexual orientation, religion, or national origin, or otherwise in a manner that, in Afri pearl collections’ view, would violate the Universal Declaration of Human Rights, including without limitation Articles 12, 18, or 19.
• Using the API in any manner that violates Afri pearl collections’ Anti-Discrimination Policy.
• Using the API in a manner that violates the privacy of Afri pearl collections or Afri pearl collections’ users.

6. Afri pearl collections’ Trademarks
Remember to keep it original. You agree not to use Afri pearl collections’ trademarks, logos, signature colors, layout, text, or other materials in a way that suggests endorsement from or affiliation with Afri pearl collections. Similarly, you can’t create or use a mark that’s confusingly similar to our trademarks. Your use of Afri pearl collections’ marks is subject to our Trademark Policy. Since this application is your work, Afri pearl collections’ marks must be less prominent than your own. If you’re publicizing or sharing your application, you may say that it was created using Afri pearl collections’ API, but you can’t state that your application is endorsed or certified by Afri pearl collections.
To prevent confusion, we require you to display this notice prominently on your application: “The term ‘Afri pearl collections’ is a trademark of Afri pearl collections, Inc. This application uses the Afri pearl collections API but is not endorsed or certified by Afri pearl collections.”
7. Indemnification and Release of Afri pearl collections
When you use the API to provide an application, you (and your successors in interest) agree not to sue Afri pearl collections or our members, and fully release the same, for any intellectual property, data breach, security, or data protection-based claims related to your application to the extent it employs the API, or related to the Afri pearl collections technologies that are necessary to your application’s integration with Afri pearl collection’s function.
In addition, you will not bring any intellectual property infringement claim, nor assist any third party in doing so, against Afri pearl collections or our members, related to your use of, and access to, the API (including how your application interacts with Afri pearl collections, the Site, the Apps, or the Services) that are necessary for your application’s integration with Afri pearl collections. For clarification, this paragraph relates to your use of and access to the Afri pearl collections API, not to unrelated content of your application or any Afri pearl collections shop you may control. More generally, if your account, application, or use of the API gets Afri pearl collections sued, you agree to indemnify and defend Afri pearl collections. For example, to the extent Afri pearl collections is alleged to have, or found to have, any separate or joint liability for your failure to comply with this policy, you agree to indemnify and hold Afri pearl collections harmless for, and reimburse Afri pearl collections for costs related to, that violation. By using the Services, you acknowledge that Afri pearl collections will use your information in the United States, Ireland and any other country where Afri pearl collections operates. 2. Information Collected or Received
In the course of providing our Services, we collect or receive your personal information in a few different ways. We obtain the categories of personal information listed below from the following sources: directly from you, for example, from forms you complete or during registration; indirectly from you based on your activity and interaction with our Services, or from the device or browser you use to access the Services; from our vendors and suppliers that help provide Afri pearl collections services you may interact with (such as, for example, for payments or customer support), and from our third party advertising and marketing partners. If you’re an Afri pearl collections buyer in the EU, Norway, Iceland, or Liechtenstein, you may be asked to authenticate your payment method when you place your order. To authenticate a payment, you will need to respond to a prompt from your card issuer and provide additional information, such as a correct response to a question, a password, or a passcode. Afri pearl collections may contact individual shop owners confidentially to request more information about their shops or items listed through the Services, or may request information from buyers to ensure compliance with our policies and applicable law. Automated Information: Afri pearl collections automatically receives and records information from your browser or your mobile device when you visit the Site, use the Apps, or use certain features of the Services, such as your IP address or unique device identifier, cookies, and data about which pages you visit and how you interact with those pages in order to allow us to operate and provide the Services. This information is stored in log files and is collected automatically. Afri pearl collections may also receive similar information (like, for example, IP addresses and actions taken on the device) provided by a connected Internet of Things device such as a voice-activated assistant or Smart TV. We may combine this information from your browser or your mobile device with other information that we or our advertising or marketing partners collect about you, including across devices. This information is used to prevent fraud and to keep the Services secure, to analyze and understand how the Services work for members and visitors, and to provide advertising, including across your devices, and a more personalized experience for members and visitors.
We also automatically collect device-specific information when you install, access, or use our Services. This information can include information such as the hardware model, operating system information, app version, app usage and debugging information, browser information, IP address, and device identifiers. For more information about these online tools and how we use them, see our Cookies & Similar Technologies Policy and “Information Uses, Sharing, & Disclosure” Section below.
Data from Afri pearl collections Vendors and Suppliers: We also receive information from our vendors and suppliers about you. This information can include customer service interactions, payments information, delivery information, and information shared in Afri pearl collections’ forums.
Data from Advertising and Marketing Partners: As described below, Afri pearl collections receives information from our advertising and marketing partners about you. This information can include attribution information via cookies and UTM tags in URLs to determine where a visit to Afri pearl collections comes from, responses to marketing emails and advertisements, responses to offers, and audience information from partners who you have given consent to share that information with us.
Location Information: We collect information about your use of the Services for advertising, for analytics, to serve content, and to protect the Services. This can include your IP address, browser information (including referrers), device information (such as iOS IDFA, IDFV for limited non-advertising purposes, Android AAID, and, when enabled by you, location information provided by your device). When you use the Apps, you can choose to share your geolocation details with Afri pearl collections in order to use functions like our local marketplace, maps, and for in-person sales (although you don’t need to share these details). You can choose to publish your location when you sell on Afri pearl collections.
We obtain location information you provide in your profile or your IP address. With your consent, we may also determine location by using other information from your device, such as precise location information from GPS or information about wireless networks or cell towers near your mobile device. We use and store information about your location to provide features and to improve and customize the Services, for example, for Afri pearl collections’ internal analytics and performance monitoring; localization, regional requirements, and policies for the Services; for local content, search results, and recommendations; for delivery and mapping services; and (using non-precise location information) marketing. If you have consented to share your precise device location details but would no longer like to continue sharing that information with us, you may revoke your consent to the sharing of that information through the settings on the Apps or on your mobile device. Certain non-precise location services, such as for security and localized policies based on your IP address or submitted address, are critical for the Site to function. We will only share your geolocation details with third parties (like our mapping, payments, or, to the extent applicable, advertising providers) in order to provide you with the Services. You may also choose to enable the Apps to access your mobile device’s camera to upload photographs to Afri pearl collections.
Analytics Information: We use data analytics software to ensure Site and App functionality and to improve the Services. This software records information such as how often you use the Apps, what happens within the Apps, aggregated usage, performance data, app errors and debugging information, and where the Apps were downloaded from. We do not link the information we store within the analytics software to any personally identifiable information that you submit within the mobile application. Non-Member Information: Afri pearl collections receives or obtains information (for example, an email address or IP address) about a person who is not yet a registered Afri pearl collections member (a “non-member”) in connection with certain Afri pearl collections features, such as when a non-member chooses to subscribe to an Afri pearl collections newsletter, a member invites a non-member to visit the Site, a member uploads non-member information using the contact uploader feature, a non-member engages in a transaction, a member sends a gift card code to a non-member, or a non-member uses Guest Checkout to make a purchase. Non-member information is used only for the purposes disclosed when it was submitted to Afri pearl collections, for purposes necessary to the functioning of Afri pearl collections’ Services or where Afri pearl collections has a legitimate interest, as disclosed in the “Information Uses, Sharing, & Disclosure” Section below, or to facilitate action authorized by a member or the non-member.
You can choose to import your contacts from your mobile device or personal email address book, or a social network account to Afri pearl collections. We do not retain the login information for your email service, mobile device, or social network site. You can search for people you know by email address or phone number on the Site or through the contact information you import. Finding your friends on Afri pearl collections helps you connect with them on our platform. For example, you can follow another member’s public activity, such as public Favorites. When you begin following another member’s activity, they will receive an email notification (if the member has consented to receiving this type of email).
If you do not want your contacts to be able to find you on Afri pearl collections through your email address, phone number, or social networking connections, then you can change your findability through your account settings. If you do not wish to be located on Afri pearl collections via your name, you can remove your name and instead may use a nickname or alias as your name in your public account information.
4. Messages from Afri pearl collections
On occasion, Afri pearl collections will need to contact you. Primarily, these messages are delivered by email, Afri pearl collections Messages, or by push notifications for a variety of reasons, including marketing, transactions, advocacy, and service update purposes. If you no longer wish to receive push notifications, you can disable them at device level. You can opt out of receiving marketing communications via email or Messages in your account settings or by following the unsubscribe link in any marketing email you receive. To ensure you properly receive notifications, we will need to collect certain information about your device, such as operating system and user identification information. Every account is required to keep a valid email address on file to receive messages. Afri pearl collections may also contact you by telephone to provide member support or for transaction-related purposes if you request that we call you. Additionally, and with your consent where required by applicable law, Afri pearl collections may send you an SMS (or similar) message, or reach out to you by telephone, in order to provide you with customer support, for research or feedback, or to provide you with information about products and features that you may find of interest. You can update your contact preferences in your account settings.
Some messages from Afri pearl collections are service-related and necessary for members and Guest Checkout users. You understand and agree that Afri pearl collections can send you non-marketing emails, Afri pearl collections Messages, or messages, such as those related to transactions, your account, security, or product changes. Examples of service-related messages include an email address confirmation/welcome email when you register your account, notification of an order, service availability, modification of key features or functions, relaying Messages with buyers, and correspondence with Afri pearl collections’ Support team (including by chat interface or the other methods of communication as described above).
When you register for an account, subscribe to a newsletter, or provide us with your email address or phone number such as for a Guest Checkout purchase, you receive notice of and agree (in some jurisdictions and situations, by an additional unambiguous consent) to receive marketing emails and messages from us. You can unsubscribe at any time from marketing emails or messages through the opt-out link included in marketing emails or messages. Members can also control which marketing emails or messages they receive from Afri pearl collections through their account settings. Please note that some changes to your account settings may take a few days to take effect.
A contact-importer feature is available to help you locate and connect with your friends and contacts who may be members of Afri pearl collections (see the “Findability” section above for more information). If someone in your contact list is not already a member, you may invite them to join Afri pearl collections, and an email will be sent to them on your behalf. Recipients of email invitations may opt out of receiving future invitations by following instructions in the email invitation message. You may send an invitation only to someone who has given you consent to receive one.
Afri pearl collections is a marketplace and a community. We offer several features that allow members to connect and communicate in public or semi-public spaces, such as Forums and Teams, which are a part of the Afri pearl collections Community space. You don’t have to use these features, but if you do, please use common sense and good judgment when posting in these community spaces or sharing your personal information with others through the Services. Be aware that any personal information that you choose to submit there can be read, collected, or used by others, or could be used to send unsolicited messages to you. We engage certain third parties to assist in providing community services to you and, in the context of that relationship, we need to share some of your information with such third parties in order to provide that service. This may include, for example, information from your Afri pearl collections account that is publicly available, your account’s status, your forum posts and Team memberships, your Afri pearl collections username and/or shop name, the display name you’ve optionally chosen to share publicly in your Afri pearl collections account, avatar image, the date that you registered on Afri pearl collections, as well as your language and regional settings on the Site. If you close your Afri pearl collections account, your community account, which allows you to post in Forums, will also be closed and related personal information will be deleted. However, your posts may remain public after your account is closed, although your name will no longer be displayed alongside the post. You are responsible for the personal information that you choose to post in community spaces through the Services. You can set your privacy preferences and download your data in your Community Settings, and close or delete your community account by submitting a request to Afri pearl collections.
Another member may follow your public activity on the Site to receive updates, such as when you add an item to your public Favorites. You may choose to make certain activities private through your account settings. You have the option to block any member with whom you do not wish to share your updates.
6. Information Uses, Sharing, & Disclosure
We respect your privacy. Afri pearl collections will not disclose your name, email address or other personal information to third parties without your consent, except as specified in this policy.
You can control your privacy settings through the opt-out buttons in your account settings privacy tab, and the Privacy Settings link in the footer of most site pages and our homepage. Please note that some changes to your privacy settings may take a few days to take effect. We or our sellers may advertise our Services or our sellers’ products through a variety of different mediums and rely on your consent to do so off-site.
When you access or use the Services, we collect, use, share, and otherwise process your personal information for the purposes described in this policy. We rely on a number of legal bases to use your information in these ways. These legal bases include where:
• You have consented to the processing, which you can revoke at any time;
• Necessary to comply with a legal or regulatory obligation, a court order, or to exercise or defend any impending or asserted legal claims;
• Necessary for the purposes of our or a third party’s legitimate interests, such as those of visitors, members, or partners (described in more detail below);
• You have expressly made the information public;
• Necessary in the public interest, such as to prevent crime; and
• Occasionally necessary to protect your vital interests or those of others (in rare cases where we may need to share information to prevent loss of life or personal injury).
We principally rely on consent (which can be withdrawn at any time) (i) to send marketing messages, (ii) for third-party data sharing related to advertising, and, to the extent applicable, (iii) for the use of location data for advertising purposes.
We rely on consent for targeted online and offline marketing including through tools like Facebook Custom Audience and Google Customer Match. We or our sellers may advertise our Services or our sellers’ products through a variety of different mediums and rely on your consent to do so off-site. As part of this, we may work with advertising partners such as Facebook, Google, and other partners disclosed in our Cookies and Similar Technology Policy. These partners have their own privacy policies and consent mechanisms for their customers, in addition to Afri pearl collections’ controls. Afri pearl collections may also use first party data (e.g. your prior shopping and browsing patterns on our Site), and may combine it with other data collected from you, such as your location, or publicly available information, to permit us to create targeted audiences based on your known or inferred demographic and/or interests to provide you with more relevant and useful advertising on our site, in our direct marketing channels (like email), or with our off site marketing partners, like Google and Facebook, subject to their terms and privacy notice you agreed to with such partners .
Our Legitimate Interests
Where we process your information on the basis of legitimate interests, we do so as follows:
Providing and Improving our Services: We use your information to improve and customize our Services, including sharing your information for such purposes, and we do so as it is necessary to pursue our legitimate interests of improving our Services for our users. This is also necessary to enable us to pursue our legitimate interests in understanding how our Services are being used, and to explore and unlock ways to develop and grow our business. It is also necessary to allow us to pursue our legitimate interests in improving our Services, efficiency, interest in Services for users, and obtaining insights into usage patterns of our Services. As a core part of our Services, we have a legitimate interest in customizing your on-site experience to help you search for and discover relevant items and recommended purchases, including using this information to help sellers find the best ways to market and sell their products on Afri pearl collections.
Providing Marketing Communications: We rely on our legitimate interest to send you marketing messages (where permitted independent of consent) and for Afri pearl collections’ advertising programmes (including Afri pearl collections’ on-site advertising and marketing).

Aggregated Information: Afri pearl collections may share demographic information with business partners, but it will be aggregated and de-personalized so that personal information is not revealed.
Service Providers: Afri pearl collections also needs to engage third-party companies and individuals (such as research companies, and analytics and security providers) to help us operate, provide, and market the Services. These third parties have only limited access to your information, may use your information only to perform these tasks on our behalf, and are obligated to Afri pearl collections not to disclose or use your information for other purposes. This policy does not apply to the practices of third parties (such as other members who sell using the Services, certain third-party providers on whom we rely to provide certain services, or API users) that Afri pearl collections does not own or control or individuals that Afri pearl collections does not employ or manage, except as otherwise provided for in the Terms or as required by law. If you provide your information to such third parties in connection with your use of the Services, different practices may apply to the use or disclosure of the information that you provide to them. For the purposes of European law, these sellers, third party providers, and API users are independent controllers of data, which means that they are responsible for providing and complying with their own policies relating to any personal information they obtain in connection with the Services.
The United States, European Economic Area (“EEA”) Member States, and other countries all have different laws. When your information is moved from your home country to another country, the laws and rules that protect your personal information in the country to which your information is transferred may be different from those in the country in which you live. For example, the circumstances in which law enforcement can access personal information may vary from country to country. In particular, if your information is in the US, it may be accessed by government authorities in accordance with US law.

The security of your personal information is important to us. Unfortunately, no method of transmission over the internet or method of electronic storage is 100% secure. Therefore, while we strive to protect your personal information, we can’t guarantee its absolute security.
Your account information is protected by a password. It is important that you protect against unauthorized access to your account and information by choosing your password carefully and by keeping your password and computer secure, such as by signing out after using the Services. Afri pearl collections offers advanced security features and settings for members, such as two-factor authentication for signing in, and sign in history and notifications; you can view more information in your account settings.

Afri pearl collections will retain your information only for as long as is necessary for the purposes set out in this policy, for as long as your account is active (i.e., for the lifetime of your Afri pearl collections member account), or as needed to provide the Services to you. If you no longer want Afri pearl collections to use your information to provide the Services to you, you may close your account. Afri pearl collections will retain and use your information to the extent necessary to comply with our legal obligations (for example, if we are required to retain your information to comply with applicable tax/revenue laws), resolve disputes, enforce our agreements, and as otherwise described in this policy. In addition, Afri pearl collections sellers may also be required to retain and use your information in order to comply with their own legal obligations. Please note that closing your account may not free up your email address, username, or shop name (if any) for reuse on a new account. We also retain log files for internal analysis purposes. These log files are generally retained for a brief period of time, except in cases where they are used for site safety and security, to improve site functionality, or we are legally obligated to retain them for longer time periods.
10. Your Rights & Choices
Certain privacy laws around the world, including the European General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA), provide users with rights related to their personal information. Consistent with those laws, Afri pearl collections gives you the choice of accessing, editing, or removing certain information, as well as choices about how we contact you. You may change or correct your Afri pearl collections account information through your account settings. You may also remove certain optional information that you no longer wish to be publicly visible through the Services, such as your name. • Right to Know: California residents may request disclosure of the specific pieces and/or categories of personal information that the business has collected about them, the categories of sources for that personal information, the business or commercial purposes for collecting the information, the categories of personal information that we have disclosed, and the categories of third parties with which the information was shared.

Third Party Marketing and Advertising and Your Rights (Opt-Out of “Sale”)
Afri pearl collections does not sell personal information to third parties for monetary value. However, the term “sale” is defined broadly under the California Consumer Privacy Act. Before you contact Afri pearl collections for records or information, first see if the information you are seeking is publicly available or request the records directly from the relevant Afri pearl collections member.
Some information about Afri pearl collections buyers and sellers (which we collectively refer to in this policy as “Afri pearl collections Members”) and Afri pearl collections Shops (which we refer to as “Shops”), such as a Shop’s name, the public name of its owner, and the Shop’s policies, is public and can be viewed by anyone at any time. In addition, Afri pearl collections members may have access to certain records by logging in to their accounts. For example, Afri pearl collections sellers can access and download sales records in .csv format, and all members can view their Messages history by navigating to the relevant pages in their Afri pearl collections accounts.
2. Afri pearl collections Requires Valid Legal Process
Legal process must contain enough identifying information so that Afri pearl collections can identify the member’s account. A common name, for example, does not uniquely identify a member’s account. Your legal process should include information such as an email address, transaction ID, username, shop name or payment information.
3. Serving Afri pearl collections with Legal Process to Request Access to Member Information
Before obtaining legal process, and contacting Afri pearl collections, please check the location of the member whose information you are seeking. Requests for information relating to Afri pearl collections members located in North and South America should be directed to Afri pearl collections, Inc. in the United States. Requests for information relating to all other Afri pearl collections members should be directed to Afri pearl collections Ireland UC.
All requests for member information must be made with valid and sufficient legal process. We may be able to expedite our review of your request if, in addition to providing us with proper legal service, you email a copy to our contact address.
Receipt of legal process by these means is for Afri pearl collections’ convenience only and does not waive any objections, including lack of jurisdiction, subpoena power or improper service.
As a Uganda-based company, Afri pearl collections may require that non-US legal process be domesticated under a Mutual Legal Assistance Treaty (“MLAT”), letters rogatory, or section 1782 of the Uganda code, as appropriate. Afri pearl collections U.K may require that non-British legal process be domesticated under the British Criminal Justice (Mutual Assistance) Act 2009.
4. Emergency Circumstances
If your request for information involves an emergency regarding a danger of death or serious physical injury to a member of the Afri pearl collections community or any member of the public, please contact your local law enforcement. If you are a law enforcement officer seeking information relating to such an emergency, please contact.
1. Your name and title, the government agency you work for, and your full contact information (government email address, phone number and fax number);
2. A summary of the facts about the emergency situation, including how the situation poses a danger of death or serious physical injury to an Afri pearl collections member or any person;
3. The identity of the person or people who are in danger;
4. The specific records sought and how they relate to the emergency; and
5. Why legal process can’t be obtained and the records must be disclosed without delay.
5. Notice to the Member Whose Records Are Sought
When Afri pearl collections receives legal process seeking records or information about an Afri pearl collections member, Afri pearl collections may provide notice to that member, including a copy of the legal process. Afri pearl collections may also allow the member enough time to appear and object to the legal process in court, if necessary.
6. Requests for Witness Testimony
Afri pearl collections does not provide expert witnesses for trial or deposition. When Afri pearl collections produces records, we provide a standard records custodian declaration of authenticity. A live testimony by a records custodian is unnecessary because the records are self-authenticating.
7. Cost Reimbursement
Afri pearl collections may seek reimbursement for our costs directly incurred in searching for, assembling, collecting, and preparing records or information for production.
Supplier Code of Conduct
Afri pearl collections’ Code of Conduct outlines standards for conducting business in an ethical, lawful and responsible way. In accordance with these standards, Afri pearl collections has established this Supplier Code of Conduct to ensure its suppliers are committed to the same principles.
Suppliers, their employees, agents, and subcontractors (collectively referred to as “Suppliers”) may enter into agreements with Afri pearl collections to conduct business with us or on our behalf. All Suppliers are required to comply with this Supplier Code of Conduct, or at least all applicable laws and regulations. In rare circumstances, such agreements can still move forward if Afri pearl collections identifies sufficient compensating controls in place to reasonably ensure legal compliance. Afri pearl collections expects Suppliers to have strong corporate governance in place to support their compliance with this Code of Conduct. Afri pearl collections may audit a Supplier upon reasonable notice to help confirm compliance with this Code of Conduct. Afri pearl collections reserves the right to discontinue a Supplier relationship in the event they are found to be acting unlawfully or in violation of this Code of Conduct or any applicable Afri pearl collections policy.
Legal and Regulatory Compliance
Anti-Corruption: Never give or offer anything of value to gain an improper advantage, whether it be in dealings with government officials or the private sector. Suppliers are required to comply with all applicable laws and regulations, including, for example, the Foreign Corrupt Practices Act and United Kingdom Bribery Act of 2010.
Antitrust: Do not participate in any anti-competitive conduct such as discussing or exchanging competitively sensitive information or agreeing to geographic markets, customers or pricing with competitors. Suppliers are required to comply with all applicable antitrust and fair competition laws.
Trade: Comply with applicable import and export laws, act in accordance with trade restrictions of the Ministry of Finance Uganda and US Treasury Department’s Office of Foreign Assets Control (OFAC) and any other applicable trade restrictions.
Business Practices and Ethics
Conflicts of Interest: Avoid conflicts of interest or even the appearance of conflicts of interest. Suppliers must not deal directly with any Afri pearl collections employee whose spouse, domestic partner or other relative has an interest in the Supplier as an employee, partner, owner, investor, or similar roles, including negotiating the Supplier contract.
Gifts and Hospitality: Avoid giving gifts or providing lavish hospitality to Afri pearl collections employees. If offering a gift or hospitality to an Afri pearl collections employee, Suppliers should use good judgement and ensure it complies with applicable laws, and is consistent with local customs.
Insider Trading: Do not buy or sell Afri pearl collections stock when in possession of material non-public information, or pass such information to any others, including friends or family.
Records Management: Accurately record, maintain, and report financial and business information. Ensure compliance with all applicable laws and regulations regarding such information.
External Communications: Do not speak publicly on Afri pearl collections’ behalf unless authorized to do so by Afri pearl collections Legal.
Risk Management: Implement internal policies, procedures, and controls to identify, address, and remediate risks addressed in this Code of Conduct as well as applicable legal requirements.
Training and Communication: Communicate this Code of Conduct to all employees or contractors who will be conducting business with Afri pearl collections and conduct training for employees, when necessary.
Anti-harassment and Unlawful Discrimination: Provide equal opportunity employment and maintain a respectful work environment that is free of discrimination, violence harassment and intimidation.
Human Rights: Respect human rights, provide fair working conditions and prohibit forced, compulsory or child labour.
Compensation: Provide compensation (including overtime and benefits) that at a minimum, complies with local laws. Suppliers must pay their employees in a timely manner and provide documentation detailing the basis of their pay (e.g., paystub).
Parental Leave: Abide by all applicable laws pertaining to parental leave, and offer paid benefits that are gender inclusive when possible.
Freedom of Association: Abide by all applicable laws pertaining to freedom of association and collective bargaining. Do not retaliate against employees who choose to organize.
Compliance with Environmental Laws and Regulations: Abide by all applicable laws for hazardous materials, air emissions, waste and wastewater discharges.
Ecological Footprint: Conduct business in an environmentally responsible and sustainable manner, including: resource-efficient consumption of energy, water and other natural resources, minimizing waste and diversion from landfills, and reducing harmful chemical use.
Protection of Data, Intellectual Property, and Assets
Data Protection: Protect confidential and proprietary information of Afri pearl collections, Afri pearl collections employees, members, and others with whom we do business. Information should not be disclosed without proper authorization and should only be used for a legitimate business purpose. All information uses must comply with all applicable laws, regulations, and governing contracts.

Protect Afri pearl collections’ Intellectual Property and Assets: Protect and use Afri pearl collections’ intellectual property and tangible assets responsibly. Afri pearl collections’ intellectual property (including name, logo, trademarks, etc.) and tangible assets should be used for legitimate business purposes and only when authorized to do so by Afri pearl collections.
If a Supplier is in violation of this Code of Conduct they are required to notify Afri pearl collections immediately.
